Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and PayNest UK LLC ("PayNest", "we", "us") and govern your use of paynest.uk and all related services. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. The service

PayNest provides professional corporate services, including U.S. and U.K. business formation, registered-agent and address services, website and application development, and brand identity design.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract. One account per person or business entity.

3. Accounts

You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us immediately of any unauthorised use. We may suspend or terminate accounts that violate these Terms, with or without notice.

7. Design and development services

PayNest Studio provides website design, mobile app development, UI/UX design, integrations, and related software engineering services. Every engagement is scoped in writing before work begins, including deliverables, revision rounds, timelines, and price. Delivery estimates are targets, not guarantees, and depend on you supplying content, feedback, and approvals on time. We do not provide legal, tax, accounting, immigration, or government filing services, and we are not affiliated with, endorsed by, or acting on behalf of any government agency.

8. Prices, billing, cancellations and refunds

All prices are shown in US dollars and exclude any local taxes that may apply. Projects are billed through Stripe. A one-time setup fee is charged when your project starts. Hosting, maintenance and care plans are recurring subscriptions billed monthly or yearly until you cancel, and the price and billing interval are displayed before you pay.

  • You may cancel a subscription at any time from your billing page; it stays active until the end of the paid period and is not pro-rated.
  • Setup fees are fully refundable if you cancel before design or development work has started. Once work has begun, we refund the portion of the fee covering milestones not yet delivered.
  • Third-party costs already paid on your behalf (domains, app store fees, paid APIs, licences) are non-refundable.
  • Refund requests go to support@paynest.uk and are answered within 5 business days.

We do not store card details on our servers; card data is handled by Stripe.

9. Acceptable use

You agree not to:

  • Use the service for unlawful purposes.
  • Attempt to circumvent technical limits or security controls.
  • Use bots, scrapers, or automated entry tools.
  • Post content that is abusive, defamatory, or infringes intellectual property.
  • Interfere with other users' enjoyment of the service.

10. Intellectual property

All content on paynest.uk other than your own submissions — including text, graphics, logos, software, and quiz questions — is owned by PayNest or its licensors and is protected by copyright and trademark law. You receive a limited, non-transferable licence to use the service for its intended purpose.

11. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the service will be uninterrupted, error-free, or secure.

12. Limitation of liability

To the maximum extent permitted by law, PayNest's total liability to you for any claim arising out of or relating to the service is limited to the greater of (a) the amount you paid PayNest in the 12 months preceding the claim, or (b) USD $100. We are not liable for indirect, incidental, special, or consequential damages.

13. Indemnification

You agree to indemnify and hold PayNest harmless from any claim arising out of your breach of these Terms, your misuse of the service, or your violation of any third-party rights.

14. Termination

You may delete your account at any time from your dashboard. We may suspend or terminate access for any breach of these Terms or where required by law. Provisions that by their nature survive termination (intellectual property, disclaimers, limitation of liability, governing law) continue to apply.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute will be resolved in the state or federal courts located in New Castle County, Delaware, except where applicable consumer protection law gives you the right to sue in your home jurisdiction.

16. Changes

We may update these Terms from time to time. Material changes will be announced by email to registered users and the "Last updated" date will be revised. Continued use of the service after an update constitutes acceptance of the new Terms.

16A. Web & App Studio agreement

These clauses apply in addition to the rest of these Terms whenever you purchase a website or mobile application build through PayNest Studio.

  • Scope. The build scope is the feature list, design direction and plan shown on your order at the time of payment, and is recorded in your project workspace. Anything outside that recorded scope is an additional feature and is quoted separately before work begins.
  • Annual hosting. Every delivered project includes mandatory annual hosting on our infrastructure, billed yearly in advance from the delivery date. If hosting lapses, the project enters a grace period and may then be suspended until hosting is renewed.
  • Free maintenance period. The first two months after delivery include free maintenance covering bug fixes, defects and minor content corrections within the delivered scope. New features, redesigns and integrations are billable at all times, including during this period.
  • Change requests and tickets. Bug reports within scope are handled at no cost. Change requests are quoted in your workspace and start only once you accept the quote and pay. We aim to acknowledge tickets within one business day.
  • Data ownership. You own your business content, customer data and records stored in your project. We retain ownership of our underlying platform code, frameworks, tooling and reusable components.
  • Migration and exit. You may request a full data package at any time from your project workspace. Once all outstanding invoices are settled, we prepare a structured export of your project data, database records, documents and invoices and deliver it to your nominated destination. Hosting for the project ends on the agreed handover date.
  • Audit trail. Stage changes, deliverables, quotes, payments and handover activity are logged against your project for both parties' reference.
